These Terms and Conditions (“Terms”) govern all services provided by Brown Janitorial Services, LLC (“Brown Janitorial,” “we,” “our,” or “us”). By requesting services, signing a proposal, executing a service agreement, or allowing work to begin, the client (“Client,” “you,” or “your”) agrees to be bound by these Terms.

1. Scope of Services

Brown Janitorial Services, LLC provides contract-based commercial janitorial and facility cleaning services only. We do not offer residential cleaning, one-time cleanings, or non-contract labor services.

All services are performed strictly in accordance with a defined Scope of Work (SOW) agreed upon in writing prior to service commencement. The Scope of Work governs:

  • Tasks included and excluded

  • Cleaning frequencies

  • Areas serviced

  • Service windows and access requirements

  • Compliance or facility-specific requirements

Any service not explicitly listed in the Scope of Work is excluded by default and requires written approval and pricing prior to execution.


2. Proposals, Agreements, and Onboarding

All proposals issued by Brown Janitorial are contract-ready documents. Service does not begin until:

  1. The proposal or service agreement is signed

  2. Onboarding requirements are completed

  3. Access instructions are provided

  4. Initial payment terms are satisfied

Verbal agreements, email requests, or informal approvals are not binding unless confirmed in writing by an authorized Brown Janitorial representative.


3. Contract Term and Renewal

Unless otherwise stated in writing:

  • Commercial cleaning agreements are issued for a minimum contract term

  • Contracts may automatically renew unless terminated in accordance with the agreement

  • Pricing is subject to annual review based on labor, supply, compliance, and operational cost changes

Brown Janitorial reserves the right to adjust pricing with proper notice in response to documented cost increases or scope changes.


4. Client Responsibilities

To ensure consistent, compliant service, the Client agrees to:

  • Provide safe and reasonable access to all service areas

  • Maintain utilities (water, electricity, lighting) during service hours

  • Secure valuables and sensitive materials

  • Inform Brown Janitorial of hazards, restricted areas, or regulatory requirements

  • Maintain conditions that allow cleaning to be performed safely and efficiently

Brown Janitorial is not responsible for delays, service interruptions, or quality issues caused by inaccessible areas, unsafe conditions, or incomplete client disclosures.


5. Quality Control and Accountability

Brown Janitorial operates on a documented quality control system, which may include inspections, checklists, supervisory reviews, and corrective action processes.

Clients must report service concerns within a reasonable timeframe to allow investigation and correction. Repeated service failures attributable to documented Brown Janitorial error will be addressed according to internal remediation protocols.

Quality concerns do not relieve the Client of payment obligations unless otherwise agreed in writing.


6. Limitations and Exclusions

Unless specifically included in the Scope of Work, Brown Janitorial does not provide:

  • Biohazard or trauma cleanup

  • Mold remediation

  • Construction debris removal

  • Hazardous material handling

  • Pest control

  • Structural or mechanical services

Specialty services may require separate agreements, certifications, or subcontractors.


7. Supplies, Equipment, and Chemicals

Brown Janitorial supplies standard commercial-grade cleaning products and equipment unless otherwise specified.

Clients requesting the use of facility-provided products, green-certified materials, or specialized chemicals must approve associated pricing, liability limitations, and performance expectations in writing.

Brown Janitorial is not responsible for performance limitations resulting from client-mandated products or equipment.


8. Payment Terms

Payment terms are defined in the service agreement or invoice and may include:

  • Monthly invoicing

  • Net payment terms

  • Automatic billing requirements

Late payments may result in:

  • Service suspension

  • Late fees

  • Collection actions

  • Contract termination

Nonpayment constitutes a material breach of agreement.


9. Cancellations and Termination

Termination terms are governed by the service agreement. In general:

  • Written notice is required

  • Minimum notice periods apply

  • Early termination fees may apply for contract disruption

Brown Janitorial reserves the right to terminate services immediately for:

  • Unsafe working conditions

  • Nonpayment

  • Repeated access issues

  • Abusive behavior toward staff

  • Contract violations


10. Staffing, Training, and Subcontracting

Brown Janitorial utilizes trained, insured personnel and may assign supervisors or substitute staff as operationally necessary.

We reserve the right to subcontract or reassign personnel while maintaining accountability, quality standards, and compliance with the Scope of Work.

Clients may not direct, supervise, or reassign Brown Janitorial staff.


11. Liability and Damages

Brown Janitorial maintains appropriate commercial insurance coverage. Liability is limited to direct damages caused by proven negligence during the performance of contracted services.

We are not liable for:

  • Pre-existing damage

  • Normal wear and tear

  • Items not disclosed or secured

  • Indirect, incidental, or consequential damages

  • Business interruption losses

Claims must be reported promptly with documentation.


12. Indemnification

The Client agrees to indemnify and hold harmless Brown Janitorial Services, LLC from claims arising from:

  • Client negligence

  • Unsafe facility conditions

  • Undisclosed hazards

  • Violations of applicable laws or regulations


13. Compliance and Regulations

Clients are responsible for informing Brown Janitorial of any industry-specific regulations, security requirements, or compliance standards applicable to their facility.

Brown Janitorial will perform services in good faith based on the information provided.


14. Confidentiality

Brown Janitorial respects client confidentiality. Information observed or obtained during service is treated as confidential unless disclosure is required by law or authorized by the Client.


15. Force Majeure

Brown Janitorial is not liable for service delays or failures caused by events beyond reasonable control, including but not limited to labor shortages, weather events, supply disruptions, or governmental actions.


16. Website Use and Content

Use of the Brown Janitorial Services website does not establish a service agreement. Website content is informational and subject to change without notice.

Unauthorized reproduction or misuse of content is prohibited.


17. Governing Law

These Terms are governed by the laws of the state in which Brown Janitorial Services, LLC is registered and operating, without regard to conflict of law principles.


18. Modifications

Brown Janitorial reserves the right to update these Terms at any time. Updated Terms apply to new and ongoing services as permitted by law and contract.
